Effective: February 2026These Terms of Service govern your access to and use of the Collections Manager platform, including our website, APIs, and related services. Please read these terms carefully before using our services.
1. Acceptance of Terms
By accessing or using the Collections Manager platform, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to all of these terms, you may not access or use our services.
These terms constitute a legally binding agreement between you and Collections Manager. If you are using our services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these terms, and references to "you" in these terms will refer to both you and the organization.
We recommend reviewing these terms periodically, as your continued use of the platform after changes are posted constitutes acceptance of the updated terms.
2. Account Registration
2.1 Registration Requirements
To access certain features of our platform, you must create an account. When registering, you agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information to keep it accurate
- Be at least 13 years of age (or the minimum age required in your jurisdiction)
- Create only one account per person (duplicate accounts may be suspended)
2.2 Account Responsibilities
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:
- Use a strong, unique password and keep it confidential
- Notify us immediately if you suspect unauthorized access to your account
- Not share your account credentials with any third party
- Accept responsibility for all actions taken through your account
3. Acceptable Use
3.1 Permitted Uses
You may use Collections Manager for lawful purposes consistent with these terms, including:
- Creating, organizing, and managing personal or professional collections
- Collaborating with other users through shared collections and workspaces
- Accessing and using our API in accordance with our API usage guidelines
- Exporting and backing up your own data and collections
3.2 Prohibited Conduct
You agree not to engage in any of the following prohibited activities:
- Violating any applicable laws, regulations, or third-party rights
- Uploading or distributing malware, viruses, or any harmful code
- Attempting to gain unauthorized access to other accounts or systems
- Using automated tools to scrape, crawl, or extract data beyond authorized API usage
- Interfering with or disrupting the platform's infrastructure or other users' access
- Impersonating another person or misrepresenting your affiliation
- Distributing spam, unsolicited communications, or chain messages
- Uploading content that is defamatory, obscene, or promotes violence or hatred
- Circumventing rate limits, access controls, or security measures
- Using the platform for cryptocurrency mining or similar resource-intensive operations
4. Intellectual Property
4.1 Platform Ownership
The Collections Manager platform, including its design, source code, logos, trademarks, documentation, and all related intellectual property, is owned by or licensed to Collections Manager. Nothing in these terms grants you any right, title, or interest in our intellectual property except as expressly provided.
4.2 User Content License
You retain ownership of the content you create and upload to the platform. By uploading content, you grant Collections Manager a non-exclusive, worldwide, royalty-free license to host, store, display, and distribute your content solely for the purpose of providing and improving our services. This license terminates when you delete your content or close your account, subject to reasonable backup and caching timelines.
4.3 Feedback
If you provide suggestions, ideas, or feedback about our services, you grant us the right to use such feedback without restriction or compensation. We are not obligated to implement any feedback you provide.
5. Collections and Content
5.1 User-Generated Content
You are solely responsible for the content you upload, create, or share through the platform. You represent and warrant that you have all necessary rights and permissions to use and share such content, and that your content does not infringe upon the intellectual property or other rights of any third party.
5.2 Content Rights
Collections you create may be designated as public or private. Public collections may be viewed, searched, and discovered by other users. Private collections are accessible only to you and users you explicitly grant access to. We do not claim ownership over your collections or their contents.
5.3 Content Moderation
We reserve the right to review, modify, or remove content that violates these terms or that we reasonably believe is harmful, inappropriate, or illegal. We may also suspend or terminate accounts that repeatedly violate our content policies.
6. API Usage
6.1 API Access
We provide an API that allows programmatic access to certain platform features. API access is subject to these terms and any additional API-specific documentation and guidelines we publish.
6.2 Rate Limits
API usage is subject to rate limits that vary based on your plan tier. Current rate limits are documented in our API Reference. We reserve the right to adjust rate limits at any time with reasonable notice. Exceeding rate limits may result in temporary throttling or suspension of API access.
6.3 API Keys
API keys are tied to your account and must be kept confidential. You are responsible for all activity conducted using your API keys. If you suspect your API key has been compromised, you should regenerate it immediately through your account settings.
6.4 Acceptable API Use
- API requests must include proper authentication and identification
- You must not use the API to build a competing service or replicate core platform functionality
- Automated bulk operations must respect rate limits and not degrade service for other users
- API access may be revoked if usage patterns indicate abuse or policy violations
7. Payment and Billing
7.1 Free Tier
Collections Manager offers a free tier that provides access to core platform features with certain usage limits. Free tier accounts are subject to the same terms and conditions outlined here. We reserve the right to modify free tier features and limits with reasonable notice.
7.2 Paid Plans
Paid subscription plans provide additional features, higher limits, and premium support. By subscribing to a paid plan, you agree to pay the applicable fees as described at the time of purchase. Subscription fees are billed in advance on a recurring basis according to your chosen billing cycle.
7.3 Refunds and Cancellation
You may cancel your paid subscription at any time through your account settings. Upon cancellation, you will retain access to paid features until the end of your current billing period. We do not provide prorated refunds for partial billing periods, except where required by law.
7.4 Price Changes
We reserve the right to change subscription pricing. For existing subscribers, we will provide at least 30 days' notice before any price increase takes effect. If you do not agree to the new pricing, you may cancel your subscription before the change takes effect.
7.5 Taxes
All fees are exclusive of applicable taxes unless stated otherwise. You are responsible for paying any applicable sales, use, value-added, or other taxes related to your use of paid services, except for taxes based on our net income.
8. Termination
8.1 Account Suspension
We may suspend or restrict access to your account if we reasonably believe you have violated these terms, engaged in fraudulent activity, or pose a security risk to the platform or its users. Where possible, we will provide notice and an opportunity to address the issue before suspension.
8.2 Account Termination
Either party may terminate this agreement at any time. You may close your account through your account settings or by contacting our support team. We may terminate your account for material or repeated violations of these terms, with notice provided via email.
8.3 Data After Termination
Upon account termination, we will retain your data for 30 days to allow for account recovery or data export. After this grace period, your personal data and private collections will be permanently deleted. Public collections you have created may be anonymized and retained if they have been used or referenced by other users. We recommend exporting your data before closing your account.
9. Disclaimers and Limitations
9.1 As-Is Provision
The Collections Manager platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
9.2 No Guarantee of Availability
We do not guarantee that the platform will be uninterrupted, error-free, or free of viruses or other harmful components. We may perform scheduled maintenance that temporarily affects availability and will endeavor to provide advance notice of significant downtime.
9.3 Limitation of Liability
To the maximum extent permitted by applicable law, Collections Manager and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or related to your use of or inability to use the platform.
Our total aggregate liability for all claims arising from or relating to these terms or the use of the platform shall not exceed the greater of the amount you paid us in the 12 months preceding the claim or one hundred dollars ($100).
9.4 Indemnification
You agree to indemnify, defend, and hold harmless Collections Manager, its officers, directors, employees, contractors, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses arising from:
- Your violation of these Terms of Service
- Your violation of any third-party rights, including intellectual property rights
- Your use or misuse of the platform
- Content you upload, create, or share through the platform
- Any unauthorized use of your account by a third party
9.5 Force Majeure
Neither party shall be liable for any failure or delay in performing obligations under these terms to the extent such failure or delay results from circumstances beyond the party's reasonable control, including but not limited to natural disasters, acts of government, internet outages, power failures, pandemics, or acts of terrorism.
10. Governing Law
These terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes arising from these terms or your use of the platform shall be resolved in the state or federal courts located within the jurisdiction of our principal place of business.
Before initiating formal legal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at legal@collectionsmanager.com. We will attempt to resolve the dispute through good-faith negotiation within 30 days.
10.2 Severability
If any provision of these terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these terms shall otherwise remain in full force and effect.
10.3 Entire Agreement
These Terms of Service, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Collections Manager regarding your use of the platform. Any prior or contemporaneous agreements, communications, or understandings are superseded by these terms.
10.4 Waiver
The failure of Collections Manager to enforce any right or provision of these terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these terms will be effective only if in writing and signed by an authorized representative of Collections Manager.
10.5 Assignment
You may not assign or transfer these terms, or any rights or obligations hereunder, without our prior written consent. We may assign these terms without restriction. Subject to the foregoing, these terms will bind and inure to the benefit of the parties and their respective successors and permitted assigns.
11. Changes to Terms
We reserve the right to modify these Terms of Service at any time. When we make material changes, we will:
- Update the effective date at the top of this page
- Notify registered users via email or prominent in-app notification
- Provide at least 30 days' notice before material changes take effect
- Publish a summary of significant changes when practical
Your continued use of the platform after the updated terms take effect constitutes your acceptance of the changes. If you do not agree with the updated terms, you should discontinue use and close your account.
